Terms and Conditions A-R D ELITE LLC
Website Design & Digital Services Last Updated: //20251.Agreement Overview These Terms and Conditions(“Agreement”) govern all website design, development, and related digital services (“Services”) provided by A-R D ELITE LLC (“Company,” “we,” “our,” or “us”) to any client (“Client,” “you,” or “your”). By purchasing, signing, or otherwise agreeing to our services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
2.Scope of Services A-R D ELITE LLC offers services including, but not limited to: Website design and development Website redesign and modernization Hosting, maintenance, and updates (if selected) Branding and digital graphics Content integration and basic optimization Monthly retainer services (if selected)All services will be outlined in a project proposal, estimate, or service agreement.
3.Client Responsibilities The Client agrees to: Provide all necessary content, images, information, and approvals in a timely manner. Ensure all submitted content is owned by the Client or properly licensed. Respond promptly to communications and project requests to avoid delays. Provide accurate business details needed to complete the project. Failure to provide required materials may result in delays or additional fees.
4.Payment Terms A non-refundable deposit (typically 50%) is required to begin work unless otherwise agreed. Remaining payments are due upon project completion or according to the payment schedule provided. Monthly retainer and maintenance plans are billed automatically or as agreed in writing. Late payments may result in paused work, withheld deliverables, or additional fees. A-R D ELITE LLC reserves the right to suspend or terminate services for overdue balances.
5.Revisions Projects include a set number of revisions as outlined in the proposal. Additional revisions or major changes requested after approval may incur extra charges. Examples of major changes include layout reconstruction, redesign requests, additional pages, or changes to approved content.
6.Turnaround Time Timelines depend on Client participation. Delays in communication, payments, or content delivery may extend project deadlines. A-R D ELITE LLC is not responsible for delays caused by the Client.
7.Ownership & Intellectual Property The Client receives full ownership rights to the completed website after the final payment is made. A-R D ELITE LLC retains ownership of all design files, templates, or assets not explicitly transferred. We reserve the right to display completed projects in our portfolio, marketing materials, or social media unless otherwise requested in writing.
8.Website Hosting & Maintenance If hosting or maintenance is provided by the Company: The Company will maintain website uptime, updates, and security to the best of its ability. The Company is not liable for outages or technical issues caused by third-party providers. Failure to keep payments current may result in suspension or removal of website hosting. Clients using their own hosting are responsible for their hosting and technical performance.
9.SEO & Performance Disclaimer A-R D ELITE LLC provides basic optimization. We cannot guarantee: Search engine rankings Specific traffic increases Sales or revenue outcomes Performance depends on many factors outside our control.
10.Third-Party Services Any third-party services (plugins, software, hosting, or domain services) purchased for or by the Client are subject to their own terms and are the responsibility of the Client. The Company is not liable for changes, outages, or costs related to third-party platforms.
11.Confidentiality Both parties agree to keep private any confidential or proprietary business information shared during the project.
12.Termination Either party may terminate this Agreement with written notice. The Client is responsible for payment of all work completed up to the termination date. No refunds will be issued for completed services or deposits. The Company reserves the right to terminate services for abusive, inappropriate, or uncooperative behavior.
13.Limitation of Liability A-R D ELITE LLC is not liable for: Loss of revenue or business Security breaches outside our control Website misuse, errors, or edits made by the Client Technical issues caused by third-party platforms or hosting services Our total liability is limited to the amount paid by the Client for the specific service.
14.Indemnification The Client agrees to indemnify and hold A-R D ELITE LLC harmless from any claims, damages, or liabilities arising from: Content provided by the Client Copyright-infringing materials supplied by the Client Misuse of the delivered website
15.AmendmentsA-R D ELITE LLC reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of significant changes.16.Governing Law This Agreement is governed by the laws of the state in which A-R D ELITE LLC operates, without regard to conflict-of-law principles.
